Terms and Conditions
This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature.
This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of www.learncross.com website.
Learncross, is an online platform (hereinafter the “Platform”/ “Site”) brings together project-based experiential learning and flexible, career-relevant courses so you can apply what you (hereinafter “Users”, “You”) learn, build real skills, and move toward genuine career readiness — on a credible pathway built with academic institutions. The Platform is owned by Future Crown Solutions Private Limited, a private limited company incorporated under the Companies Act, 2013.
Acceptance of Terms
By using Learncross, whether as a registered user or otherwise, you agree to comply with and be bound by these Terms of Use (“Terms”). These Terms govern your use of the Services (defined under Term 3 below) provided by Learncross (“we,” “us,” or “our”), accessible via www.learncross.com and otherwise. By accessing or using the Site and our Services, you affirm that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Site or our Services.
Your relationship with Learncross is on a principal-to-principal basis and by accepting these Terms of Use you agree that Learncross is an independent contractor for all purposes and does not have control of or liability for the Services that are listed on the Platform that are paid for, by using the payment mechanisms available on the Platform.
User Registration and Accounts
- Account Creation: To access certain Services, Users must create an account by providing accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
- Eligibility: Every User who is otherwise eligible to access online platforms is eligible to access the Platform. Use of the Platform is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. As a minor if you wish to use the website, such use may be made by your legal guardian or parents on the Website. By using the Site, you represent and warrant that (a) you are not restricted or barred from accessing the Platform under law or otherwise; and you have the requisite permission/ capacity to access and use the Platform; (b) you are not a competitor or accessing the Platform for reasons that are in competition with us; and (c) you do not intend to or would violate any of our rights, including intellectual property rights.
- Account Responsibilities: You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this requirement.
Services Offered
Description of Services: Learncross provides Users a variety of tools that allow the Users to inter alia interact, exchange information and perspectives, access content, share knowledge etc. within the Platform. Learncross, at present, offers a platform for connecting law aspirants, law students and law professionals with experienced mentors, including law students, associates, partners, and in-house counsels. Our services include one-on-one mentorship sessions, group mentorship sessions, short courses and webinars provided by mentors.
User Conduct
Users must adhere to the following guidelines, which are further supplemented below under ‘User Responsibilities and Restrictions’:
- Prohibited Content: Users shall not share illegal content, engage in harassment, violate intellectual property rights, or spam others.
- Behavioral Expectations: Users must maintain professionalism in all interactions, respect confidentiality, and follow Platform guidelines.
User agrees not to circumvent Learncross by communicating, engaging or conducting business with other Users on the Platform, outside of the Platform.
User represents and warrants that the quality and accuracy of the content posted on the Platform, is exclusively the User’s responsibility.
Payment
Payment: Payments for Services must be made through the Platform. Subscription fee, Session/Course/Webinar fee or fee for any other service on the Platform is detailed at the point of purchase/ booking.
You agree to pay subscription fee, Session/Course/Webinar/Experiential Learning fee or fee for any other service on the Platform that are attributable to your account on the Platform and that you are solely responsible for payment of these fees and charges. The subscriptions are payable in full and in advance and are valid until the completion of the applicable subscription period or until otherwise canceled or terminated in accordance with the terms of this Agreement.
If you have not completed payments for your subscriptions or any of the services on Learncross, we may restrict / suspend your access to the service until the Subscription fee is paid in full.
Your payments to Learncross shall be subject to applicable taxes including without limitation Goods and Service Taxes (GST) and Value Added Taxes (VAT) or other similar taxes, as applicable from time to time. Learncross may withhold taxes, as and when required by the applicable laws.
We reserve the right to change/revise the pricing of the subscriptions. For existing subscriptions for which the applicable fees have been already received by us, we will implement the price changes during the next billing period or renewal of the Subscription.
Further, Learncross is solely authorized to offer discounts/ offers, if any, on the subscription fee, Session/Course/Webinar fee or fee for any other service on the platform. These discounts / offers are communicated on the Platform or via email, SMS, phone, or such other means of communication, and can be availed only through the Platform. Other than Learncross, no person, including without limitation, content providers or any third-party platform, are allowed to offer any discounts on the subscription fee, Session/Course/Webinar fee or fee for any other service offered on the Platform. Learncross shall not be liable for any claims arising from such unauthorized discounts / offers offered by any person (including any third-party platform), other than Learncross.
Content and Intellectual Property
- User Content: Users retain ownership of the content they create. By posting content on Learncross, you grant us an exclusive, worldwide, royalty free license to use, reproduce, and display the content in connection with our Services.
- Platform Content: All content provided by Learncross, including courses, webinars and mentorship materials, is protected by intellectual property laws. You shall not reproduce or distribute this content without permission.
Modifying or Terminating Our Services
- Changes to Services: We reserve the right to modify or discontinue, temporarily or permanently, our Services (or any part thereof) with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services. If your use of a paid service is terminated, you may be eligible for a refund as per our Refund Terms
- Termination: We reserve the right to terminate your account for violating these Terms or engaging in prohibited activities.
Disclaimers and Limitation of Liability
Disclaimers: Learncross is an intermediary as defined under sub-clause (w) of Section 2 of the Information Technology Act, 2000. Our Services are provided ‘as is’ without warranties of any kind. We do not guarantee the accuracy or completeness of any content provided on the Platform. The content on our Site is provided for general information only. It is not intended to amount to advice on which you should rely. We make no guarantees, representations or warranties, whether expressed or implied, with respect to professional qualifications, quality of work, expertise or other information provided on the Platform. In no event, shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information. We do not guarantee that our Services, our Site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our Site or Services without notice. We will not be liable to you if for any reason our Site is unavailable at any time or for any period. Learncross is an intermediary as defined under the Information Technology act, 2000 and it does not warrant, endorse, guarantee, or assume responsibility for any user content on the platform advertised or offered by a third party through the platform or any hyperlinked services or featured in any banner or other advertising, and Learncross will not be responsible for monitoring any transaction between you and third-party providers of user-content or services. As with the purchase of a service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.
The Platform is not involved in providing any mentoring itself and hence is not responsible for any interactions between the mentors and mentees. User understands and agrees that we will not be liable for:
Interactions between Users and associated issues:
- the ability or intent of the mentors/instructors/professionals/subject matter experts or the lack of it, in fulfilling their obligations towards mentees/students/users/subscribers/learners;
- quality issues with mentoring/instructions/advice provided by the instructor(s)/mentors/subject matter experts;
- inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the subscribers/mentee/users/students/learners due to a failure on the part of the mentor/ subject matter experts / instructors;
- any misconduct or inappropriate behavior by the users;
- unsuccessful session, cancellation or no show by the users/subscribers/learners/instructors/subject matter experts or rescheduling of booked appointment or any variation in the fees charged.
Limitation of Liability:
Learncross is not liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our cumulative liability shall not exceed the amount paid by the User for the Services.
We make no representation, warranty, or guarantee that the Services we provide via our Site will meet your requirements or expectations or that they will be fit for a particular purpose or that success or any other specific results may be achieved, or that they will be error-free, timely, reliable, secure or virus-free. The Services are provided solely to facilitate the management and administration of communications between mentors and mentees (or between users and other relevant students or professionals). We are not a party to any transactions or other relationships between any of our Users, or to any disputes between them. Any claims must be made directly against the party concerned. You use the Site solely at your own risk.
We are not responsible for the content or accuracy of, or for any opinions, views, or values expressed in any posts, comments or other content posted by Users of our Site. Any such opinions, views, or values are those of the relevant User and do not reflect our opinions, views, or values in any way.
We accept no liability to any User for any loss or damage, whether foreseeable or otherwise, in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising out of or in connection with the use of (or inability to use) our Site and Services or the use of or reliance upon our Services or any content included on our Site. To the fullest extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Services, Site or any content on it, whether express or implied, including any guarantee that our Site will meet your requirements.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your equipment, programs, data or other proprietary material due to your use of our Site or to your downloading of any content on it, or on any website linked to it. We accept no responsibility or liability arising out of any disruption or non-availability of our Site resulting from any external causes including, but not limited to, host equipment failure, communications network failure, natural events or acts of war.
We will not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
- use of, or inability to use, our Site;
- use of or reliance on our Services or any content displayed on our Site;
- loss of profits, sales, business, or revenue;
- business interruption;
- loss of anticipated savings;
- loss of business opportunity, goodwill or reputation; or
- any indirect or consequential loss or damage.
Indemnification
You agree to indemnify and hold Learncross harmless against any third-party claims, including but not limited to intellectual property and data protection claims, damages, liabilities, and expenses arising out of your use of our Services or violation of these Terms.
Governing Law and Dispute Resolution
These terms are governed by the laws of India. Any disputes arising from these Terms or the use of our Services shall be resolved exclusively by the Courts in Lucknow, India.
Privacy and Data Protection
We are committed to protecting your privacy. Our Privacy Policy details how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy, and our Privacy Policy is incorporated here.
The User hereby agrees to Learncross and/or any person authorized by it carrying out an audit of User’s activities on the Platform, including of any sessions, courses, webinars attended, for the purpose of improving treatment quality, user experience, and other related processes. The User acknowledges that the subject matter of audit may include texts, messages, photographs, reports, audio or video recordings or any other material exchanged between the Users which could inter alia include User's personal information, including Personally Identifiable Information. This Personally Identifiable Information will be processed in accordance with the Privacy Policy.
User Responsibilities and Restrictions
Accurate Information: Users must provide accurate information and will not use the Services for any illegal activities. Users shall refrain from raising any personal queries or seeking advice from mentors/instructors/subject matter experts which are not related to the subject matter of the discussion/ session. Users shall abide by the terms & conditions of the Service as described (which are in addition to these Terms), and shall not violate them. We have the right to disable any User access, at any time, if in our reasonable opinion, the User has failed to comply with any of the provisions of these Terms.
Prohibited Behavior: You may use our Site only for lawful purposes. You shall not use our Site:
- In any way that breaches any applicable local, national or international law or regulation.
- In any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect.
- For harming or attempting to harm minors in any way.
- To send, knowingly receive, upload, download, use or reuse any material which does not comply with our content standards as detailed later (Clause 12.3: Content Standards).
- To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam).
- To knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any device’s software or hardware.
- to reproduce, duplicate, copy or resell any part of our Site in contravention of these Terms.
- to adapt, modify or create derivative works based on the Service or technology underlying the Services or User’s content, in whole or part.
- to access without authority, interfere with, damage or disrupt: any part of our Site; any equipment or network on which our Site is stored; any software used in the provision of our Site; or any equipment or network or software owned or used by any third party.
Content standards: The standards specified under Rule 3 (1) (b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended from time to time, are referred to herein, and the Platform/ Users shall abide by the same. In addition, the following Content Standards apply to all material which you upload, share or contribute to our Site, and to any interactive services associated with it including voice, video, chat, email and other like services. You must comply with the spirit and the letter of the following standards. The standards apply to each part of any material/ content as well as to its whole.
It must:
- Be accurate (where they state facts).
- Be genuine (where they state opinions).
- Comply with applicable laws in India and in any country from which they are posted.
It must not:
- belong to another person and to which the user does not have any right;
- impersonate another person;
- threaten the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting other nation;
- Contain any material which is defamatory of any person.
- Contain any material which is obscene, offensive, hateful, invasive of another’s privacy including bodily privacy, relate to or encourage money laundering or gambling, or promote enmity between different groups on the grounds of religion or caste with the intent to incite violence
- Contain any material which is harmful, harassing, blasphemous, pornographic, pedophilic or libelous in any manner.
- Contain any material that is hateful, racially or ethnically objectionable,
- deceive or mislead the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature or is identified as fake or false by the fact check unit at the Press Information Bureau of the Ministry of Information and Broadcasting or other agency authorised by the Central Government for fact checking or, in respect of any business of the Central Government, by its department in which such business is transacted under the rules of business made under Article 77 (3) of the Indian Constitution.
- disparaging, or otherwise unlawful in any manner whatsoever.
- promote sexually explicit material.
- Is harmful to children.
- Promote violence.
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
- Infringe any copyright, patent, database right or trademark or other proprietary rights of any other person.
- Be likely to deceive any person.
- Be in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
- Promote any illegal activity.
- Be threatening, abusive or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.
- Be likely to harass, upset, embarrass, alarm or annoy any other person.
- Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
- Give the impression that the content emanates from the Platform, if this is not the case.
- Advocate, promote or assist any unlawful act including but not limited to copyright infringement.
- violate any law for the time being in force
- use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform or in any way reproduce or circumvent the navigational structure or presentation of the Website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform.
Suspension and termination
We will determine, in our discretion, whether there has been a breach of these Terms. When a breach has occurred, we may take such action as we deem appropriate, including any of the following:
- Immediate, temporary or permanent withdrawal of User’s right to use our Site and the Services (including suspension or termination of the User’s account and any future accounts such User might create)
- Immediate, temporary or permanent removal of any posting or material uploaded by the User to our Site.
- Forfeiture of the consideration paid for any Service(s) availed or to be availed by the User.
- Issuance of a warning to the User.
- Further legal action against the User.
- Disclosure of such information to law enforcement authorities as we reasonably feel to be necessary.
It is specifically clarified that in the event User is reported to be abusive towards another User or we find the User to be in violation of these Terms, while using the Platform and/ or while availing the Services, in addition to the above actions, we reserve the right to terminate the Service and to not provide such Services in future, without any responsibility of honoring any refund request towards the consideration paid by such User for any Service, whether availed, pending or ongoing.
We exclude liability for actions taken in response to breaches of these Terms. The responses described in these Terms are not limited, and we may take any other action we reasonably deem appropriate.
User agrees to fully reimburse us for all losses (including loss of profit, revenue, goodwill or reputation), costs and expenses arising out of any breach of these Terms by the User, or any other act or omission by the User in using the Site or by any other person accessing the Site using User’s personal information with authority that results in any legal responsibility on our part to any third party.
If the User account is terminated or deactivated (by the User or by us), User’s photos, comments and all other data uploaded and pertaining to the User’s account will no longer be accessible through User account, but those materials and data may still appear within the Site.
We encourage the Users to maintain backup of their content. We are not a backup service. Whilst we will take all reasonable steps to keep the content secure, we do not guarantee that others will not gain access to your information. Users acknowledge that the Internet may be subject to breaches of security and that the submission of content or other information may not be secure.
Third-Party Interactions: Users must interact with other Users for and in relation to the Services only through the Platform to ensure safety and confidentiality. No part of these Terms are applicable to interactions outside our Site.
Subscription and Billing
Activation: Subscriptions are activated upon payment realization and will provide access to the services as described.
Use of Information
Informational Purposes: Information provided on the Platform is for informational purposes only and should not be considered professional advice.
Third-Party Links: Our Platform may contain links to third-party websites, which are not under our control. We are not responsible for the content or privacy practices of these third-party websites.
Confidentiality
Users are responsible for maintaining the confidentiality of their interactions on the Platform. Users should only share such personal and confidential information with the mentors and the Platform, that is necessary for seeking mentorship on the Platform.
Updates to Terms
We may update these Terms from time to time. Any changes will be posted on our Site, and continued use of our Services implies acceptance of the updated Terms.
We may update our Site from time to time, and may change, add, modify or discontinue, temporarily or permanently the content and Services at any time. We shall not be liable for any such addition, modification, suspension, or discontinuation of the Services. Any of the content on our Site may be out of date at any given time, and we are under no obligation to update it. We do not guarantee that our Site, or any content on it, will be free from errors or omissions.
Refund
Cancellation/Rescheduling by Learncross:
If Learncross cancels a session, course, or webinar, the Subscriber(s) shall be entitled to a refund of any fees paid.
If Learncross reschedules a session, the Subscriber shall have the option to either accept the revised date and time or decline it. If the Subscriber declines the revised date and time or chooses not to accept the revised date and time, the Subscriber shall be entitled to a refund if the session does not take place at the initially agreed date and time.
In the event it is proved that a mentor/instructor/subject matter expert has acted in contravention of any applicable laws/ Terms, we shall provide a refund to the mentee, subject to verification.
If the Service is unsuccessful due to the abusive nature of the Mentee/Subscriber, such Mentee/Subscriber shall not be eligible for any refund and we shall be entitled to take any action as outlined under Clause 12.4, depending upon the gravity of the matter.
In the event a User raises any concerns regarding the inappropriateness of a particular session, the User agrees that the refund or any other outcome for any such concerns raised by the User will be subject to a detailed review of the said concerns by us.
Users shall refrain from raising any personal queries or seek advice which are not related to the Services availed. In the event, the User raises any such personal queries or seeks advice, we reserve the right to terminate the Services to/ of such Users and further, such Users will not be entitled to any refund.
We reserve the right to permanently block Users from future Services in the event the User has made multiple cancellation for reasons not genuine.
Users are allowed a period of three (3) days, from the date of a scheduled session, to raise any concern, and request for a refund. No refund requests shall be considered thereafter.
We shall check the details and process the refund wherever applicable, solely at our discretion. In all matters related to refund and settlement under these Terms, we shall decide so, at our sole and absolute discretion after detailed review of the matter and taking into account all the involved parties’ information. Our decision shall be final in this regard.
Miscellaneous Terms
- Feedback and Reviews: Users may provide feedback and reviews, which Learncross may use to improve Services offered. However, abusive or defamatory feedback is prohibited. In cases where a User posts an abusive or defamatory feedback, Learncross reserves the right to edit/delete such feedback from the Platform.
- Data Use and Sharing: Personal data shared during sessions is used solely for the purpose of providing services. Learncross may analyze anonymized data to improve platform functionality, promote Learncross or any other purpose that Learncross might think fit.
- Profile Information: Users must ensure that their profile information is accurate and up-to-date. Learncross reserves the right to remove or suspend profiles that contain false or misleading information.
- Headings: Clause headings are inserted for convenience only and shall not affect the interpretation of these Terms.
- Waiver: Our delay of enforcing any of our rights, would not amount to a waiver of such rights by us. .
- Severability: If any provision of these Terms is deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of remaining provisions.
- Entire Terms: These Terms, and all incorporated documents referred to herein, constitute the entire Terms as to your use of the Site and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral.
- Assignment: A User shall not assign its accounts and its rights and/or obligations as per these Terms of Use.
Users acknowledge that by using the Site, you do not rely on, and shall have no remedies in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms or any incorporated documents referred to herein.
